Chairman of the Board and
Director
Mr. Winger has practiced law in Calgary since 1978 and has been a Partner of Burstall Winger LLP since 1990. Mr. Winger's preferred area of practice is corporate/securities law. He advises both underwriters and issuers in respect of national and international public and private securities financings, as well as mergers, acquisitions and corporate reorganizations.
Mr. Winger has been a director of numerous private and public companies and is currently a director of Canoro Resources Ltd. (TSXV), Culane Energy Corp. (TSXV), Excelsior Energy Ltd. (TSXV), Open Range Energy Corp. (TSX) and Redcliffe Exploration Inc. (TSXV).
Mr. Winger graduated from the University of Saskatchewan in 1974 with a Bachelor of Arts degree and in 1978 with his law degree.
Director
Mr. Emes is an independent businessman and a director of Zapata Energy Company, a TSXV-listed oil and gas company and Wilton Resources Inc., a TSXV-listed capital pool company. He has been an Independent Businessman since early 2007. Prior thereto, for 13 years he was a senior executive in the investment business where he specialized in raising capital and providing advisory services primarily in the energy sector. From 2005 to 2006 he was a Vice-President of Integral Securities Ltd., from 2003 to 2005 he was a Vice-President of Woodstone Capital Corp., from 1999 to 2003 he was Vice Chairman and a Director of Octagon Capital Company, and from 1995 to 1999 he was a Senior Vice President of Research Capital Company.
Prior to entering the investment business, Mr Emes spent 16 years as a senior officer in the oil and gas business as Vice President, Finance and Chief Financial Officer for Morgan Hydrocarbons Inc. from 1990 to 1995 and as Senior Vice President and Chief Financial Officer of Sceptre Resources Ltd. from 1980 to 1989. As a member of the Alberta Institute of Chartered Accountants since 1974, Mr. Emes spent five years as a tax specialist at two international firms Arthur Anderson & Co. and subsequently Peat Marwick Mitchell & Co., with an emphasis on oil and gas and crossborder taxation.
Mr. Emes holds a Bachelor of Arts degree from the University of Calgary (1967) and an MBA (finance) from the University of Oregon (1970).
Director
Mr. Seth is President of Seth Consultants Ltd. He was Chairman of McDaniel & Associates Consultants Ltd. ("McDaniel"), one of the pre-eminent oil and gas engineering evaluators in Canada and internationally, and prior thereto, President and Managing Director of the firm. Mr. Seth has over 38 years of experience in the evaluation of oil and natural gas reserves and resources.
Mr. Seth is currently on the Board of Directors of Enerplus Resources Fund, one of Canada's senior oil and gas income trusts, Connacher Oil & Gas Limited, Open Range Energy Corp., Corridor Resources Inc., Redcliffe Exploration Inc. and Reliable Energy Ltd. He is also the Founder and Director of Energy Navigator Inc., a private software development firm servicing the petroleum industry.
Mr. Seth graduated from the University of B.C. with a Bachelor of Applied Science degree in mechanical engineering and is a registered professional engineer in the province of Alberta.
Corporate Secretary
Mr. Verbuck is a Partner of Burstall Winger LLP, where he has practiced since 2002 with a focus on securities and corporate finance, as well as general corporate and commercial law. He has significant experience with corporate governance, corporate finance, mergers, acquisitions, dispositions and reorganizations and all aspects of the Canadian securities law regulatory regime, as well as other general corporate and commercial matters.
Before joining Burstall Winger, Mr. Verbuck practiced with a national law firm in Toronto, Ontario. He is the Corporate Secretary of Culane Energy Corp. and Redcliffe Exploration Inc., which are listed on the TSXV, as well as the Corporate Secretary of several private oil and gas companies.
Mr. Verbuck obtained his Bachelor of Arts degree from the University of Western Ontario in 1993 and a Bachelor of Laws degree from the University of Toronto in 1998.
President and
Chief Executive Officer and Director
Mr. McCallum is a Professional Geologist (P.Geol.) with over 12 years of exploration and development experience in the western Canadian oil and gas business. Most recently, Mr. McCallum was a founding shareholder and the Vice President, Exploration of Glamis Resources Ltd., as TSXV – listed company from 2005 until its reorganization into Legacy Oil + Gas Inc. in July 2009.
Prior to Glamis, Mr. McCallum was the Exploration Manager and Co-Owner of Markedon Energy Ltd., a private oil and gas company with operations in Alberta. Markedon Energy Ltd. was sold, along with its minor interest partner, to Esprit Energy Trust in August 2005 for $101 million. Prior thereto, Mr. McCallum worked as an independent Exploration Geologist from 2000 to 2001 and as a staff Exploration Geologist with Draig Energy Ltd. from 1998 to 2001. In 2000, Mr. McCallum founded Newgrange Energy Inc. ("Newgrange"), a private oil and gas company with various capital investments, working interest and royalty production in Alberta. Mr. McCallum remains President of Newgrange Energy and, collectively with his family, owns all the outstanding shares.
Mr. McCallum graduated with a B.Sc. (Advanced) degree in Geology from the University of Saskatchewan in 1998 and is an active member of CSPG, AAPG, APEGGA and APEGS. Mr. McCallum currently sits on the board of directors of two private oil and gas companies with activities focused in Alberta.
Executive Vice President and
Chief Operating Officer and Director
Mr. McKercher is a professional geologist (P.Geol.) with over 20 years of exploration, development, acquisition and divestiture experience in the western Canadian oil and gas business. Most recently Mr. McKercher was a founding shareholder, Director and the President and Chief Executive Officer of Glamis Resources Ltd. ("Glamis"), a TSXV-listed oil and gas company since it was incorporated in 2005 until it was reorganized as Legacy Oil + Gas Inc. ("Legacy") in July 2009.
Prior to Glamis, Mr. McKercher was a founding shareholder in 2002 of Rock Creek Resources Ltd., a TSXV-listed oil and gas company, where he held the position of Exploration Manager until it was sold to Great Plains Exploration Ltd. in July 2005. Prior thereto, Mr. McKercher was a Senior Geologist with Star Oil and Gas Ltd. from 1999 to 2002, Director of Geology with Ridel Resources Ltd. from 1998 to 1999, a Senior Geologist with Baytex Energy Ltd. from 1996 to 1998, a Senior Geologist with Corexcana Ltd. from 1994 to 1996 and Regional Exploration and Development Manager, Inuvialuit Petroleum Company from 1988 to 1994. Mr. McKercher graduated with a B.Sc. (Advanced) degree in Geology from the University of Saskatchewan in 1985 and is an active member of CSPG, AAPG, APEGGA and APEGS.
